30 Dec 2022 | SAINT HELIER, Jersey – The Board Of Directors of CoinShares International Limited (“CoinShares“, or the “Company“) (Nasdaq Stockholm; CS, US OTCQX, CNSRF) Europe’s largest investment company in digital assets has resolved to repurchase shares at Nasdaq Stockholm between 3 January 2023 and 3 April 2023 for a total maximum amount SEK25m, in accordance with the Authorisation of the Annual General Meeting 20 June 2022.

After a review of the Company’s capital structure, the Board of Directors decided to implement the sharebuyback program. This is done in order to reduce the Company’s capital.

The market abuse regulation (EU) No 596/2014 (“MAR”) as well as the Commission Delegated Regulation 2016/1052 (“Safe Harbour Regulation”) will govern the share buyback program.

These terms govern the share buyback program that the Board of Directors has resolved to:

  1. Only acquisitions can be made on Nasdaq Stockholm according to the Safe Harbour Regulation and the MAR.

  2. All transactions shall be made and structured according to the Nasdaq Stockholm Rulesbook for Issuers.

  3. Acquisitions must be completed no later than 3 January 2023, and no later than 3 March 2023.

  4. Acquisitions are limited to a price per unit within the Nasdaq Stockholm prevailing range of prices. All transactions must be in compliance with the Safe Harbour Regulation price restrictions, as well as the resolution passed by the Annual General Meeting on June 20, 2022. The price range is the difference between the highest and lowest Nasdaq Stockholm selling prices.

  5. Acquisitions must be done in accordance to the Safe Harbour Regulation restrictions on volume acquisitions of own shares.

  6. Repurchases of shares may not exceed SEK25,000,000. The Company’s ownership of shares is limited to 10% of all outstanding shares.

  7. The shares will be paid in cash.

At the time of this press release, CoinShares has 68,213,821 shares. The Company currently holds 78,396 shares.
